INTRODUCTION

Welcome to Techneth. These Terms and Conditions ("Terms") govern your access to and use of all platforms, software products, SaaS solutions, and technology services provided by Techneth ("Company," "we," "our," or "us") via www.techneth.com and associated applications. By accessing our Services, you agree to be legally bound by these Terms in full. If you do not agree, please discontinue use immediately.

1. DEFINITIONS

"Services" means all software, SaaS platforms, APIs, tools, websites, and professional services offered by Techneth.
"User" means any individual or organization accessing or using Techneth's Services.
"Account" means a registered profile granting access to Techneth's platforms.
"Content" means all data, files, text, and materials uploaded or generated through the Services.
"Subscription" means a paid plan granting access to specific features for a defined period.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 You must be at least 18 years of age and possess the legal capacity to enter into binding agreements to use our Services.

2.2 If you register on behalf of an organization, you warrant that you have full authority to bind that organization to these Terms.

2.3 You agree to provide accurate, current, and complete registration information and to keep it updated at all times.

2.4 You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

2.5 Techneth reserves the right to suspend or terminate any account found to be in violation of these Terms, or that poses a security or legal risk.

3. LICENSE TO USE OUR SERVICES

Subject to your compliance with these Terms and payment of applicable fees, Techneth grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business or personal purposes. You may not:

Copy, modify, sublicense, sell, or redistribute any part of our Services or software
Reverse-engineer, decompile, or attempt to extract source code
Use our Services to build a competing product or service
Access the Services through automated means such as bots or scrapers without written consent
Remove or alter any proprietary notices, branding, or watermarks

4. INTELLECTUAL PROPERTY RIGHTS

4.1 All technology, software, designs, trademarks, logos, trade names, documentation, and content made available through Techneth's Services are the exclusive property of Techneth or its licensors and are protected by applicable intellectual property laws worldwide.

4.2 The "Techneth" name, logo, and all related marks are trademarks of Techneth. No license to use any Techneth trademark is granted under these Terms.

4.3 You retain ownership of any content you submit through our Services. By submitting content, you grant Techneth a worldwide, royalty-free, non-exclusive license to use, host, and process such content solely to provide and improve the Services.

5. FEES, BILLING AND PAYMENT

5.1 Access to certain Services requires payment of fees as specified on our pricing page at www.techneth.com/pricing. All fees are quoted in USD unless otherwise stated.

5.2 Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly provided or required by applicable law.

5.3 Techneth reserves the right to modify pricing with at least 30 days written notice prior to the next billing cycle.

5.4 You are responsible for all applicable taxes, duties, and levies in your jurisdiction. Techneth is not liable for any currency conversion fees or international transaction charges.

5.5 Late or failed payments may result in suspension of your account following written notice.

6. PROHIBITED CONDUCT

When using Techneth's Services, you agree not to:

Violate any applicable local, national, or international law or regulation
Transmit harmful, defamatory, obscene, fraudulent, or infringing content
Attempt to gain unauthorized access to Techneth's systems, networks, or data
Introduce malware, viruses, ransomware, or any malicious code
Impersonate Techneth, its employees, or any other person or entity
Engage in any activity that disrupts or interferes with the Services
Violate export control, sanctions, or trade restriction laws

7. THIRD-PARTY SERVICES

Our Services may integrate with or link to third-party platforms and tools. Techneth is not responsible for the content, privacy practices, or terms of any third-party services. Your use of such services is entirely at your own risk and subject to the applicable third-party terms.

8. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TECHNETH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY VULNERABILITIES.

9. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TECHNETH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TECHNETH'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Techneth and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, losses, damages, and expenses, including reasonable legal fees, arising from: (a) your use of the Services in violation of these Terms; (b) your User Content; (c) your infringement of any third-party rights; or (d) your violation of any applicable law.

11. TERMINATION

11.1 Techneth may suspend or terminate your access to the Services at any time with or without cause, upon reasonable notice, except where immediate action is required to protect security or legal compliance.

11.2 You may terminate your account at any time by providing written notice to legal@techneth.com.

11.3 Upon termination, your license to use the Services shall immediately cease. Provisions that by their nature survive termination, including intellectual property, limitation of liability, and governing law, shall continue in full force.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 These Terms are governed by internationally recognized commercial law principles applicable across global jurisdictions in which Techneth operates.

12.2 The parties agree to first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice.

12.3 If unresolved, disputes shall be submitted to binding arbitration under the rules of the International Chamber of Commerce (ICC), with proceedings conducted in English.

12.4 Nothing in these Terms prevents either party from seeking urgent injunctive or equitable relief before any court of competent jurisdiction.

13. CHANGES TO THESE TERMS

Techneth reserves the right to update or modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this document and, where appropriate, via email or in-platform notification. Continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.

14. GENERAL PROVISIONS

14.1 Severability. If any provision of these Terms is found unenforceable, that provision shall be modified to the minimum extent necessary, with all remaining provisions continuing in full force.
14.2 Waiver. Failure by Techneth to enforce any right or provision shall not constitute a waiver of future enforcement.
14.3 Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, and any applicable order forms, constitute the entire agreement between you and Techneth.
14.4 No Assignment. You may not assign your rights or obligations under these Terms without Techneth's prior written consent. Techneth may assign these Terms freely in connection with a merger or acquisition.
